Playbook BLA

This License Agreement is a legal contract between Prosultant.com, Inc. ("Licensor") and the individual, business entity, or organization purchasing or using this product ("Licensee").

By downloading, accessing, or using the Software Vendor Selection Playbook (the "Playbook"), you agree to be bound by the terms below.

1. Payment & Term

• License Fee: The license requires a one-time, non-refundable project fee of $288.00 USD.
• Payment Terms: This fee must be paid in full before the delivery or download of the Playbook.
• Duration: The license remains valid indefinitely for your ongoing operations, provided you remain compliant with this agreement.

2. License Grant (What You Can Do)

Subject to full payment, Prosultant.com, Inc. grants you a non-exclusive, non-transferable, and revocable right to use the Playbook solely for one identified internal business project. The Playbook may not be reused for another project without purchasing an additional license or obtaining the Licensor's express permission.

Under this single project limited-use license, you are permitted to:

• Collaborate with Teammates: Share the Playbook privately with direct internal team members who need access to support the single licensed project.
• Engage with Vendors: Share limited, necessary portions of the content privately with authorized vendors solely to support the single licensed project.
• Customization and Protection: The Playbook and all worksheets are protected to preserve formulas, calculations, chart logic, and formatting. Unprotect the Playbook and worksheets if customization is required. Use the password provided in the Read Me worksheet. The Licensee may not remove, bypass, or modify protection or protected content without express written permission from the Licensor.
• Make Working Copies: Create reasonable archival or working copies solely for authorized participants and activities related to the single licensed project. Copies remain subject to this agreement and may not be reused for another project.

3. Usage Restrictions (What You Cannot Do)

To protect the proprietary design and commercial value of the Playbook, you explicitly agree not to engage in the following actions:

• No Commercial or Client-Facing Use: You cannot use the Playbook or any modified version as a framework, toolkit, or deliverable to provide paid consulting, advisory, or freelance services to external third-party clients. This license is restricted to the single licensed project for end-user internal use.
• No Resale or Transfer: You cannot sell, resell, sublicense, rent, lease, lend, or transfer the Playbook (or any portion of it) to any third party or external consultant without express written permission from Prosultant.com, Inc.
• No Public Distribution: You cannot host the Playbook on a public website, online gallery, server, or shared storage system accessible to the general public or individuals outside your organization.
• No Competing Products: You cannot use the Playbook to create, sell, license, or distribute any commercial product, service, or derivative work that directly competes with it.
• Preserve Branding: You must not alter or remove any Prosultant® logos, trademarks, copyrights, or proprietary attribution notices embedded within the Playbook.
